These Terms and Conditions (hereinafter, "Terms") govern access to and use of the ShopyHub platform (hereinafter, "the Platform"), owned by Fractal Apps, with address at Passeig Jaume Brutau 24-32, 08392 Sant Andreu de Llavaneres, Barcelona, Spain, and contact email info.shopyhub@protonmail.com.
1. Acceptance of the Terms
Registering for and/or using the Platform implies full and unreserved acceptance of these Terms. If you do not agree with any of the points, you must refrain from using the service.
2. Service description
ShopyHub is a SaaS (Software as a Service) platform offering artificial intelligence tools for the optimisation and bulk management of e-commerce catalogues, particularly integrated with Shopify. Its features include, among others:
- Automatic content generation and improvement (descriptions, SEO, translations).
- Price, inventory and variant optimisation.
- Product image generation and standardisation.
- Smart collection assignment and social media publishing.
- Multi-store syncing and management.
3. Registration and user account
To access the Platform you must create an account providing accurate and up-to-date information. The User is responsible for keeping their credentials confidential and for any activity carried out under their account.
Fractal Apps reserves the right to suspend or cancel accounts that breach these Terms, make fraudulent or abusive use of the service, or jeopardise the security of the Platform.
4. Plans, pricing and billing
ShopyHub offers different subscription plans and credit packs whose price, features and limitations are detailed in the Billing section of the Platform. Payments are processed securely through Stripe.
- Subscriptions renew automatically at the end of each cycle unless cancelled beforehand.
- Consumed AI credits are non-refundable.
- Fractal Apps reserves the right to change prices, giving reasonable advance notice to active subscribers.
- VAT and other applicable taxes will be added to the price in accordance with current legislation.
5. Right of withdrawal
In accordance with European and Spanish consumer regulations, the User has 14 calendar days from contracting to withdraw from the service, except where the digital service has begun to be performed with their express consent and acknowledgement of the loss of the right of withdrawal (for example, upon consuming AI credits). 6. User obligations
The User undertakes to:
- Use the Platform in accordance with the law and good practice.
- Not upload illegal, offensive, defamatory or fraudulent content, or content infringing third-party rights.
- Not use the Platform to send spam or misleading content or to engage in unfair commercial practices.
- Not attempt to access restricted areas, breach security or reverse-engineer the software.
- Comply with the policies of the integrated platforms (Shopify, Meta, etc.) when using the corresponding features.
- Hold all necessary rights over the content (texts, images, trademarks) uploaded or processed through the Platform.
7. Intellectual property
All intellectual and industrial property rights over the Platform, its code, design, brand, logos and documentation belong to Fractal Apps.
The User retains ownership of the content uploaded to the Platform but grants Fractal Apps a non-exclusive, worldwide, royalty-free licence to process it solely for the purpose of providing the service.
8. Artificial Intelligence and generated results
ShopyHub uses third-party artificial intelligence models to generate content (texts, images, price suggestions, etc.). The User acknowledges and accepts that:
- AI-generated results may contain errors, inaccuracies or biases.
- It is the User's responsibility to review, validate and approve content before publishing it in their store.
- Fractal Apps does not guarantee the accuracy, commercial suitability or performance of the generated content.
- The User is solely responsible for the commercial use they make of such content.
9. Availability and limitation of liability
Fractal Apps will use its best efforts to keep the Platform continuously operational but does not guarantee 100% availability. Interruptions may occur due to maintenance, updates or force majeure.
To the maximum extent permitted by law, Fractal Apps shall not be liable for:
- Indirect damages, loss of profit or loss of business opportunities.
- Loss or alteration of data resulting from failures in third-party services (Shopify, cloud providers, etc.).
- Consequences of using AI-generated content in live stores.
- Third-party actions on the User's accounts due to negligent use of credentials.
Fractal Apps' total liability towards the User is limited, in any case, to the amount actually paid by the User in the 3 months prior to the event giving rise to the liability.
10. Cancellation and termination
The User may cancel their subscription at any time from the Billing section. Cancellation will take effect at the end of the current billing period. Unused credits are non-refundable.
11. Changes to the service and the Terms
Fractal Apps reserves the right to modify the features, pricing or Terms of the service. Any material modification will be notified by email or through the Platform with reasonable prior notice.
12. Governing law and jurisdiction
These Terms are governed by Spanish law. Any dispute will be resolved before the Courts and Tribunals of Barcelona, unless applicable consumer regulations provide otherwise for consumer users.
